1. Who we are

Medflow Marketplace is operated by Medflow Innovations Private Limited, a company incorporated in India with its registered office in Chennai, Tamil Nadu, India. In these terms, "we", "us" and "Medflow" mean Medflow Innovations Private Limited; "you" means the person or organisation using the platform.

2. What the platform is

Medflow Marketplace is an online intermediary. We provide the technology that allows verified sellers to list healthcare products and allows buyers — including hospitals, clinics, diagnostic laboratories, pharmacies, healthcare professionals and individual consumers — to discover, compare and purchase those products.

Except where a listing expressly states that Medflow is the seller, the contract of sale for any product is between you and the seller. We are not the manufacturer, importer or seller of those products. We do not take title to the goods.

3. Eligibility and accounts

You must be at least 18 years old and legally capable of entering into a contract. If you use the platform on behalf of an organisation, you confirm you are authorised to bind that organisation.

You are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials confidential and tell us immediately if you suspect unauthorised access.

4. Regulated and restricted products

Healthcare products are regulated in India. Certain items may only be supplied to, or purchased by, persons holding the appropriate licences or qualifications.

You must not purchase or use any product in a manner that breaches the Drugs and Cosmetics Act, 1940 and its rules, the Medical Devices Rules, 2017, or any other applicable law. Where a product requires a licence, prescription or professional qualification, you are responsible for holding it.

• Prescription-only medicines are not offered on the platform.
• Certain devices may be restricted to institutional or professional buyers.
• Sellers may decline or cancel an order where regulatory requirements are not met.

5. Orders, pricing and GST

All prices are shown in Indian Rupees and are EXCLUSIVE of Goods and Services Tax (GST). GST is calculated on the product price at the rate applicable to each item and added at checkout, so the amount payable is higher than the price shown on the listing. The cart and checkout pages itemise the product subtotal, the GST and the total before you pay, and the same breakdown appears on your tax invoice.

An order is an offer to buy. The contract is formed when the seller confirms the order. Where an order contains items from more than one seller, it is split and a separate GST-compliant tax invoice is issued by each seller.

We take reasonable care to display accurate prices and availability, but listings are maintained by sellers. If a material pricing or stock error is discovered, the affected order may be cancelled and any amount paid refunded in full.

6. Bulk procurement and RFQs

Business buyers may submit a Request for Quotation (RFQ). Verified sellers may respond with quotations stating price, taxes and validity.

A quotation is binding on the seller for the validity period stated in it. Accepting a quotation creates an order on those terms. Medflow does not set, negotiate or guarantee quoted prices.

7. Payments

Payments are processed by our payment partner. We do not store your full card details. Where a payment fails or is not captured, the related order is not confirmed and any authorised amount is released by your bank or card issuer in the normal course.

8. Intellectual property

The Medflow Marketplace name, logo, design system, software and content are owned by Medflow Innovations Private Limited or its licensors and are protected by Indian and international intellectual property law. Product images, brand names and trade marks belong to their respective owners.

You may not copy, scrape, reproduce or create derivative works from the platform without our prior written consent.

9. Limitation of liability

To the maximum extent permitted by law, Medflow is not liable for indirect, incidental or consequential loss, or for loss of profit, revenue, data or goodwill.

Nothing in these terms excludes liability that cannot be excluded under Indian law, including liability for death or personal injury caused by proven negligence, or for fraud.

Our aggregate liability in connection with any order is limited to the amount you paid for that order.

10. Suspension and termination

We may suspend or close an account that breaches these terms, poses a risk to buyers, sellers or patients, or is used unlawfully. You may close your account at any time; obligations relating to completed orders survive closure.

11. Governing law and disputes

These terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction, subject to any right you have under consumer protection law to bring proceedings elsewhere.
